Head of Legal

Legal Strategy & Leadership
· Develop and implement the company’s overall legal strategy aligned with business goals and regulatory requirements.
· Lead and mentor the Legal Department, including lawyers, compliance officers, and paralegals.
· Act as the primary legal adviser to the CEO, Board of Directors, and senior management.
Regulatory Compliance and Policy Engagement
· Ensure full compliance with relevant Philippine laws, including:
o DOE , ERC , DENR , NGCP , PEZA , SEC , LGU rules and permitting requirements
o EPIRA, Renewable Energy Act, Clean Air Act, environmental and safety regulations
· Liaise with government agencies and industry regulators regarding licensing, permits, audits, filings, and investigations.
· Represent VinEnergo in industry associations and policy consultations to influence renewable energy regulations
· Monitor legislative developments and advise on strategic positioning.
· Oversee the company’s compliance framework
ContractManagement & Negotiation
· Draft, review, and negotiate key agreements
· Develop standard contract templates and risk-mitigation guidelines.
Corporate Governance
· Advise the Board on governance matters, SEC reporting, shareholder communications, and corporate housekeeping.
· Oversee annual and special stockholders’ meetings, Board minutes, resolutions, and legal corporate compliance.
Litigation, Dispute Resolution & Risk Management for Emerging Areas
· Oversee and manage litigation, arbitration, regulatory complaints, and administrative cases.
· Conduct legal risk assessments for projects, acquisitions, or new business ventures.
· Work with external counsel and ensure effective case strategy and cost control.
· Develop frameworks for cybersecurity, ESG compliance, and anti-bribery/anti-corruption aligned with Vietnam standards.
· Oversee legal aspects of carbon credits, REC trading, and sustainability reporting.
Project Development & M&A Support
· Provide legal support for due diligence and structuring of acquisitions, investments, or divestments.
· Review land acquisition, permitting, right-of-way, and project development agreements.
· Ensure legal viability and risk management for project financing, joint development agreements, and commercial transactions.
Cross-Border & Regional Coordination
· Manage legal matters involving Vietnam HQ and regional subsidiaries, including cross-border transactions and compliance with ASEAN energy frameworks.
Financing & Capital Markets
· Support green financing, project bonds, and compliance with sustainable finance regulations.
· Advise on tax incentives under the Renewable Energy Act and PEZA registration for projects.
E-Mobility & Technology Integration
· Advice on issues related to EV charging infrastructure, technology partnerships, and data privacy (e.g., compliance with the Data Privacy Act).
Energy Market & Retail Compliance
· Ensure compliance with Retail Electricity Supply (RES) licensing and market participation rules under EPIRA and ERC regulations.
· Advise on power supply agreements, retail pricing compliance, and customer protection laws.
