Business Accountabilities
Legal Advisory: Provide timely, practical, and business-oriented legal guidance to stakeholders.
Employment Law & Labor Relations: Support the organization in managing labor law compliance, employee relations, investigations, disciplinary actions, and labor disputes.
Corporate Governance: Ensure corporate records, reportorial requirements, and governance documentation are properly maintained across Philippine and international entities.
Contract Management: Support the review, drafting, negotiation, and administration of contracts to protect the interests of the organization while enabling business growth.
Regulatory Compliance: Partner with the Legal & Compliance Lead in maintaining compliance with all applicable legal and regulatory requirements.
Core Responsibilities
Employment Law & Labor Relations
Provide legal guidance on labor and employment matters, including disciplinary actions, employee investigations, performance management, organizational changes, terminations, and labor compliance.
Draft and review employment agreements, independent contractor agreements, employee communications, Notices to Explain (NTEs), Notices of Decision, separation agreements, and other employment-related documentation.
Represent the company in SENA proceedings, Labor Arbiter conferences, mediations, and other labor-related discussions.
Coordinate with external counsel for NLRC, Court of Appeals, and other litigation matters.
Corporate Governance & Corporate Housekeeping
Prepare and maintain Board Resolutions, Secretary's Certificates, Minutes of Meetings, Notices, GIS filings, and other corporate governance documentation.
Support reportorial requirements for Philippine and international entities, including coordination with corporate secretaries, regulators, and service providers.
Maintain corporate records and ensure compliance with SEC, ACRA, and other regulatory requirements.
Contract Management
Draft, review, negotiate, and manage commercial agreements, customer contracts, vendor agreements, service agreements, NDAs, consulting agreements, and employment-related contracts.
Provide legal guidance on contractual obligations, risks, and commercial considerations.
Maintain contract repositories and monitor key contractual obligations and renewal requirements.
Compliance & Regulatory Support
Support compliance activities involving SEC, BIR, PEZA, BOI, DOLE, NPC, LGUs, and other government agencies.
Monitor legal and regulatory developments and prepare advisories for management when necessary.
Support audits, regulatory examinations, compliance reviews, and investigations.
Legal Research & Strategic Support
Conduct legal research and prepare legal opinions, memoranda, and recommendations.
Support strategic projects, acquisitions, entity structuring initiatives, compliance programs, and other special projects as assigned.
Qualifications
Philippine lawyer in good standing.
Minimum 3 years of experience in labor law, corporate law, contract management, compliance, or related legal practice.
Experience handling SENA proceedings, Labor Arbiter matters, employment investigations, and contract review preferred.
Strong legal drafting, research, negotiation, and stakeholder management skills.
Experience supporting fast-growing or multi-entity organizations is an advantage.
