Lead Company mergers and acquisitions (M&A) initiatives in the media, marketing, publisher, influencer, and adtech sectors. Responsible for identifying, evaluating, negotiating, and integrating potential targets to expand company ecosystem through acquisitions or strategic investments.

1. STRATEGY & MARKET RESEARCH

Build a 2026–2030 M&A roadmap aligned with Company strategic growth plan.
Conduct market and competitive research on publisher networks, MCNs, influencer agencies, and media-tech startups in Vietnam and Southeast Asia.
Identify potential acquisition targets based on size, market relevance, synergy potential, and integration feasibility.
Monitor valuation trends, deal activities, and investment structures within MediaTech, AdTech, and Influencer ecosystems.

2. DUE DILIGENCE & VALUATION

● Work with finance, legal, and HR teams to perform comprehensive due diligence (financial, legal, tax, operational, and contractual).

Develop business valuation models (DCF, comparable multiples, or asset-based methods) tailored for each target.
Assess synergy opportunities including revenue expansion, cost reduction, technology integration, and organizational enhancement.
Prepare investment memorandums, deal summaries, and recommendations for CEO/Board approval.

3. NEGOTIATION & DEAL EXECUTION

● Lead negotiations with business owners, shareholders, lawyers, and financial advisors. ● Draft and negotiate transaction documents including Term Sheet, LOI, SPA, SHA, and supporting legal documentation. ● Manage the full deal execution timeline, ensuring compliance, readiness, and timely delivery of milestones. ● Provide transparent deal status updates and highlight potential risks or obstacles to leadership.

4. POST-MERGER INTEGRATION (PMI)

Develop and execute post-merger integration plans, covering operations, HR, finance, governance, branding, and data systems.
Coordinate with internal teams (Tech, HR, Partnership, Finance) to harmonize CRM, payout systems, publisher workflows, and operating processes.
Track post-merger outcomes, including staff retention, synergy realization, and financial performance.
Recommend rebranding, repositioning, restructuring, or operational improvements for acquired companies when necessary.

5. REPORTING & GOVERNANCE

● Prepare and deliver periodic M&A reports (monthly, quarterly, annual) for the CEO and Board of Directors. ● Maintain and update a database of potential acquisition targets and monitor deal pipeline. ● Propose long-term M&A strategies and financial structures (buyout, earn-out, equity swap, joint venture, or minority strategic investment). ● Ensure documentation, processes, and governance standards meet internal policy and regulatory requirements.

CANDIDATE REQUIREMENTS

Experience ● 5+ years in M&A, Corporate Finance, Investment Banking, Strategy Consulting, Big4 (Deals/Valuation), Venture Capital, Private Equity, or relevant roles. ● Experience in Media, Marketing, Digital Agency, Influencer, Affiliate, AdTech, or Tech Startup is strongly preferred. Knowledge & Expertise ● Strong understanding of corporate finance, financial modeling, valuation methods, deal structuring, and legal aspects of M&A.

Familiarity with due diligence processes and post-merger integration frameworks.
Ability to analyze business models, operational risks, and synergy potential.
